1. The agreement
These Terms of Use are a binding agreement between you and Phanz ("Phanz", "we", "us"). They cover phanz.vip and the Phanz application at app.phanz.vip (together, the "Service").
By creating an account, buying a plan, or using the Service, you accept these terms. If you are agreeing on behalf of a business, you confirm you have authority to bind it, and "you" means that business. If you do not accept these terms, do not use the Service.
Our Privacy Policy and Information Security pages form part of this agreement.
2. What Phanz provides
Phanz is a hosted business platform covering CRM, websites and funnels, booking, email and SMS follow-up, payments and reviews. It is delivered on infrastructure operated by HighLevel Inc., and their terms of service apply to the underlying platform in addition to these terms. Where a conflict arises about the platform itself, their terms govern that layer.
We may add, change or remove features. We will not materially reduce the core functionality of a paid plan during a billing period without notice.
3. Your account
- You must be at least 18 and able to enter a contract.
- Give accurate registration details and keep them current.
- Keep your credentials confidential. You are responsible for everything done under your account.
- Tell us promptly at hello@phanz.vip if you suspect unauthorised access.
- Enable two-factor authentication where offered. It is the single most effective control available to you.
4. Plans, billing and cancellation
Prices for each plan are shown on our pricing page. Unless stated otherwise:
- Subscriptions are billed in advance on a recurring basis and renew automatically until cancelled.
- Setup and done-for-you fees are one-time and charged up front.
- Fees are stated in US dollars and exclusive of taxes, which you are responsible for.
- Some features — messaging, calls, email volume and AI usage — carry usage-based charges passed through from the underlying providers, billed separately from your plan.
- Failed payments may result in suspension until the balance clears.
Cancelling. You can cancel at any time. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are non-refundable except where the law requires otherwise or we agree in writing.
Export your data before you cancel. After the wind-down window described in our Privacy Policy, it is deleted and cannot be recovered.
We may change prices with at least 30 days' notice. Continuing after a change takes effect means you accept the new price.
5. Acceptable use
You must not use Phanz to:
- Break any law, or infringe anyone's intellectual property or privacy rights.
- Send spam, or message anyone who has not consented to hear from you.
- Distribute malware, or attempt to probe, scan or breach the Service or its infrastructure.
- Reverse engineer, resell, sublicense or white-label the Service unless we have agreed in writing.
- Scrape or bulk-extract data by automated means beyond documented APIs.
- Impersonate anyone, or misrepresent your affiliation with a person or organisation.
- Promote fraud, hate, harassment, or anything otherwise deceptive or harmful.
- Upload health, financial or other regulated data unless we have agreed in writing that your plan supports it.
We may investigate suspected breaches and suspend access while we do.
6. Messaging compliance
If you send email, SMS or calls through Phanz, you are the sender and you carry the legal responsibility for those messages.
You must: obtain and keep records of express consent before messaging anyone; honour opt-outs immediately (STOP for SMS, unsubscribe links in email); identify yourself clearly in every message; respect quiet hours and frequency limits; and complete A2P 10DLC brand and campaign registration before sending SMS to US numbers.
You are responsible for compliance with the TCPA, CAN-SPAM, CASL, the GDPR and any other law applicable to your recipients. Carriers may filter, throttle or block traffic at their discretion, and we cannot guarantee delivery. Repeated complaints or carrier violations may result in immediate suspension.
7. Your data and content
You own your data. Your contacts, content, and everything you put into the platform remain yours. You grant us a limited licence to host, process, transmit and display it solely to operate the Service for you.
You are responsible for having the right to use the data you upload, and for having a lawful basis to process the personal data of your contacts. Where we process that data on your behalf, we act as your processor under our Privacy Policy.
Keep your own backups of anything you cannot afford to lose.
8. Our intellectual property
The Phanz name, logo, characters, site design, copy and templates are owned by us or our licensors. Your subscription grants a limited, non-exclusive, non-transferable right to use the Service for your business. Nothing here transfers ownership.
If you send us feedback or suggestions, we may use them freely and without obligation to you.
9. Third-party services
Phanz integrates with third-party services — payment processors, messaging carriers, calendars, ad platforms and AI providers. Your use of those services is governed by their own terms, and we are not responsible for their availability, pricing changes, or acts and omissions.
10. Availability and support
We aim for high availability but do not promise uninterrupted service. Planned maintenance, third-party outages and events beyond our control can interrupt access. Unless your plan includes a written service level agreement, none applies.
Support is provided by email at hello@phanz.vip and through the channels described in your plan.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We make no guarantee of business results. Any figures, examples or testimonials on our site illustrate what is possible, not what you should expect. Your results depend on your market, your offer and your effort.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised such damages were possible.
Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Nothing here excludes liability that cannot be excluded by law, including for fraud, or death or personal injury caused by negligence.
13. Indemnity
You will indemnify and hold us harmless against claims, damages and reasonable costs arising from your data, your messaging, your breach of these terms, or your violation of any law or third-party right.
14. Suspension and termination
You may cancel at any time (section 4). We may suspend or terminate your access if you materially breach these terms, if your payment fails, if your use creates legal or security risk, or if required by law or by our platform provider. Where practical we will give notice and a chance to fix the problem; for serious breaches, suspension may be immediate.
Sections 7, 8, and 11 through 15 survive termination.
15. Governing law and changes
These terms are governed by the laws of the United States and of the state in which Phanz maintains its principal place of business, without regard to conflict-of-law rules. Disputes will be brought in the courts of that jurisdiction.
If a provision is unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it in connection with a merger or sale.
We may update these terms. We will revise the date at the top and, for material changes, notify you by email or in the app before they take effect. Continuing to use the Service after that means you accept the new terms.
